OFFERTA PUBBLICA D'ACQUISTO VOLONTARIA DA BANCO BPM VITA VOLUNTARY TENDER OFFER BY BANCO BPM VITA
Milano, 8 novembre 2024 - Il Consiglio di Amministrazione di Anima Holding S.p.A. (la "Società"), presieduto da Maria Patrizia Grieco, si è riunito in data odierna per avviare le attività di competenza a seguito della ricezione della comunicazione relativa all'offerta pubblica di acquisto volontaria sulla totalità delle azioni della Società, diffusa in data 6 novembre 2024 da Banco BPM Vita ai sensi dell'Art. 102 del D.Lgs. 58/98 (l'"Offerta").
Il Gruppo Banco BPM è uno dei principali stakeholder della Società, sia in veste di primo azionista (con la quota del 22,4%) sia come partner industriale, e ha fornito un importante contributo alla crescita e allo sviluppo del gruppo Anima.
Per avviare il processo di analisi e valutazione dell'Offerta, Il Consiglio di Amministrazione di Anima Holding S.p.A. ha nominato Goldman Sachs come advisor finanziario e Gatti Pavesi Bianchi Ludovici Studio Legale come advisor legale.
In aggiunta, i consiglieri indipendenti si avvarranno di Vitale&Co. in qualità di advisor finanziario, e di A&O Shearman per la parte legale.

Milan, 8th November 2024 - The Board of Directors of Anima Holding S.p.A. (the "Company"), chaired by Maria Patrizia Grieco, met today to initiate the relevant activities following the receipt of the notification regarding the voluntary public tender offer on all of the Company's shares, announced on November 6, 2024, by Banco BPM Vita in accordance with Article 102 of Legislative Decree 58/98 (the "Offer")."
The Banco BPM Group is one of the Company's main stakeholders, both as the largest shareholder (with a 22.4% stake) and as an industrial partner, and it has given a relevant contribution to the growth and development of the Anima Group.
In order to start the process of analysis and evaluation of the Offer, the Board of Directors of Anima Holding S.p.A. has nominated Goldman Sachs as a financial advisor and Gatti Pavesi Bianchi Ludovici Studio Legale as a legal advisor.
Additionally, independent directors will avail themselves of the advice of Vitale&Co. on financial matters, and A&O Shearman on legal matters.
