Si rende noto che l'avviso di convocazione dell'Assemblea ordinaria degli Azionisti della Società, convocata in unica convocazione per il giorno 9 aprile 2019, è in corso di pubblicazione sul sito internetwww.bancamediolanum.it, sezione Corporate Governance, Assemblea degli Azionisti e l'estratto verrà pubblicato domani 9 marzo 2019 sui quotidiani "Il Giornale" e "MF".

Si comunica inoltre che le Relazioni sugli argomenti:

• - 1), 2) e 4) all'ordine del giorno adottate ai sensi dell'art. 125-ter D. Lgs. 58/1998;

• - 2) all'ordine del giorno redatta anche ai sensi dell'art. 123-ter D. Lgs. n. 58/1998;

• - 3) all'ordine del giorno adottate anche ai sensi dell'art. 114-bis del D. Lgs. 58/1998, come successivamente modificato e dell'art. 73 del Regolamento Consob n. 11971/1999 come successivamente modificato;

Filing of the notice calling the Shareholders' Meeting and of Reports to the Shareholders

We inform that the notice calling the Shareholders' Meeting on April 9, 2019 at 10,00 a.m. (single call) is being published on the Company's websitewww.bancamediolanum.com, Section Corporate Governance, Annual General Meeting and the excerpt from the notice will be published tomorrow March 9, 2019 in the newspapers "Il Giornale" and "MF".

We also inform that the reports relating to items:

• - 1), 2) and 4) of the agenda, adopted pursuant to art. 125 ter of the Leg. Decree 58/1998;

• - 2) of the agenda pursuant to art. 123-ter Legislative Decree no. 58/1998;

• - 3) of the agenda, adopted pursuant to art. 114 bis of the Leg. Decree 58/1998 as amended and art. 73 of the Consob Regulations n. 11971/1999 as amended;

• - 3) of the agenda, (Performance Shares Plans proposed to the Meeting) drafted pursuant to art. 84 bis of the Consob Regulations n. 11971/1999 as amended and according to Annex 3A of the said Regulations;
