CONVOCATA L'ASSEMBLEA PER IL RINNOVO DEGLI AMMINISTRATORI
Sondrio, 5 agosto 2025 - L'odierno Consiglio di amministrazione ha preso atto del fatto che, alla luce dei risultati dell'offerta pubblica di acquisto e scambio promossa da BPER Banca S.p.A. ("BPER"), tutti i Consiglieri - a eccezione del Vicepresidente, dott. Lino Enrico Stoppani, - hanno manifestato la loro intenzione di rimettere il mandato nelle mani di BPER, rassegnando le dimissioni dalla carica, con effetto dal rinnovo dell'Organo di amministrazione che verrà deliberato dalla prossima Assemblea degli azionisti. Sarà così garantita la continuità operativa e gestionale, nonché la corretta amministrazione della banca.
Contestualmente, tenuto conto della richiesta pervenuta da BPER ai sensi dell'art. 2367 cod.civ. e delle predette dimissioni, il Consiglio ha deliberato di convocare l'Assemblea ordinaria dei soci per il giorno 15 settembre 2025, ore 10,00, per deliberare in merito alla revoca dei Consiglieri che, a tale data, non abbiano rassegnato le dimissioni dalla carica e al conseguente rinnovo integrale del Consiglio di amministrazione nonché alla fissazione del relativo compenso.
L'avviso di convocazione dell'Assemblea, con la definizione puntuale dell'ordine del giorno e dei dettagli ai fini della partecipazione, la relazione illustrativa sulle materie all'ordine del giorno e i documenti che saranno sottoposti all'Assemblea saranno messi a disposizione presso la sede sociale, sul meccanismo di stoccaggio autorizzato "eMarket STORAGE" (https://www.emarketstorage.com) e sul sito internet aziendale all'indirizzo https://istituzionale.popso.it/it/investor-relations/assemblea-dei-soci nei termini previsti dalla vigente normativa.

SHAREOLDERS' MEETING FOR THE RENEWAL OF THE DIRECTORS CONVENED
Sondrio, August 5, 2025 - Today's Board of Directors acknowledged that, in light of the results of the public purchase and exchange offer launched by BPER Banca S.p.A. ("BPER"), all Directors - with the exception of the Vice Chairman of the Board of Directors, Dr. Lino Enrico Stoppani - have expressed their intention to put the mandate back into the hands of BPER, effective as of the the renewal of the Board of Directors to be approved by the next Shareholders' Meeting. This will ensure operational and management continuity, as well as the proper administration of the bank.
At the same time, taking into account the request received from BPER pursuant to Article 2367 of the Italian Civil Code and the aforementioned resignations, the Board resolved to convene an Ordinary Shareholders' Meeting on 15 September 2025, at 10:00 a.m., to deliberate on the dismissal of the Directors who have not resigned from office by that date, the subsequent full renewal of the Board of Directors, and the setting of the relevant remuneration.
The notice of convocation of the Shareholders' Meeting, with the detailed agenda and details for participation, the explanatory report on the items on the agenda and the documents to be submitted to the Shareholders' Meeting, will be made available at the registered office, on the authorised storage mechanism 'eMarket STORAGE' (https://www.emarketstorage.com) and on the company website at https://istituzionale.popso.it/it/investor-relations/assemblea-dei-soci within the terms provided for by current legislation.
