Proseguono le attività per il perfezionamento dell'accordo sottoscritto in data 28 marzo per la vendita a YOFC della partecipazione di maggioranza di Penta Laser Zhejiang
Firenze, 3 aprile 2025 - El.En. SpA, società leader nel mercato dei laser, quotata all'Euronext STAR Milan ("STAR") di Borsa Italiana, comunica a fronte del comunicato di precisazioni emesso dalla controparte YOFC in data odierna che le parti stanno procedendo ai necessari adempimenti per addivenire al closing entro i termini previsti e, in particolare all'attivazione della procedura presso la Presidenza del Consiglio dei Ministri italiana ai sensi del Decreto Legge italiano n. 21/2012 (c.d. "Golden Power"), che verrà intrapresa nei primi giorni della prossima settimana.
Si ricorda che l'accordo di cessione del 59,18% della società Penta Laser Zhejiang Co., Ltd. (di seguito "PLZ") capogruppo della business unit cinese dedicata al taglio laser, alla società Yangtze Optical Fibre and Cable Joint Stock Limited Company con sede a Wuhan e quotata sul mercato di Shanghai e sul mercato di Hong Kong, prevede l'incasso per il Gruppo di un corrispettivo in denaro di 240 ml di RMB corrispondenti al cambio odierno a circa 30 ml di euro.

Work continues on the finalization of the agreement signed on March 28 for the sale to YOFC of the majority stake in Penta
Laser Zhejiang
Firenze, April 3rd 2025 - El.En. SpA, a leading company in the laser market, listed on Euronext STAR Milan ("STAR") of Borsa Italiana, hereby gives notice in response to the press release issued by the counterparty YOFC today that the parties are proceeding with the necessary formalities to reach the closing within the established deadlines and, in particular, the activation of the procedure at the Italian Presidency of the Council of Ministers pursuant to Italian Law Decree no. 21/2012 (so-called "Golden Power"), which will be undertaken in the first days of next week.
It should be noted that the agreement for the sale of 59.18% of Penta Laser Zhejiang Co., Ltd., parent company of the Chinese laser cutting business unit, to the company Yangtze Optical Fire and Cable Joint Stock Limited Company based in Wuhan and listed on the Shanghai and Hong Kong markets, provides for the collection for the Group of a cash consideration of RMB 240 million, corresponding to today's exchange rate of approximately 30 ml euros.
