INTERPUMP GROUP EFFETTUA IL CLOSING DELL'ACQUISIZIONE DI REGGIANA

RIDUTTORI

Sant'Ilario d'Enza (RE), 15 ottobre 2019 - A seguito dell'esito positivo delle procedure di due diligence, Interpump Group comunica che è stato effettuato il closing dell'acquisizione del 100% di Reggiana Riduttori, uno dei leader mondiali nella progettazione e costruzione di sistemi per la trasmissione di potenza: riduttori epicicloidali, motoriduttori e ruote motrici.

Conformemente a quanto già annunciato nel comunicato stampa del 23 settembre in occasione della firma del contratto preliminare, l'operazione ha comportato la cessione all'Ing. Giannicola Albarelli - che mantiene il proprio ruolo di Presidente e AD di Reggiana Riduttori - di n. 3.800.000 azioni Interpump Group S.p.A. prelevate dalla riserva di azioni proprie, valorizzate contrattualmente al prezzo di € 28,74 l'una, più un conguaglio in denaro pari a € 15,788 milioni. Le parti hanno concordato che la PFN di Reggiana Riduttori sarà calcolata entro 30 giorni da oggi e l'importo risultante sarà corrisposto entro i 10 giorni successivi.

Interpump ringrazia l'Ing. Albarelli e tutto il management di Reggiana Riduttori per l'entusiasmo e la collaborazione che hanno consentito di rispettare gli obiettivi temporali fissati per il closing.

INTERPUMP GROUP CLOSES THE ACQUISITION OF REGGIANA RIDUTTORI

Sant'Ilario d'Enza (RE), 15 October 2019 - Following the positive outcome of the due diligence process, Interpump Group announces the closing of the acquisition of 100% of Reggiana Riduttori, a world leader in design and manufacturing of power transmission systems: planetary gears, reduction gears and wheel gears.

As already indicated in the press release issued at the signing of the contract on September 23, the operation involved the transfer to Mr. Giannicola Albarelli - who will maintain his role as Chairman and CEO of Reggiana Riduttori - of 3,800,000 Interpump shares from the treasury reserve, contractually priced at €28.74 each, plus a balance in cash amounting to € 15.788 million. The two parties have resolved that the net financial position of Reggiana Riduttori will be assessed within the next 30 days, and the corresponding amount will be paid in cash within the following 10 days.

Interpump wishes to thank Mr. Albarelli and the entire management team at Reggiana Riduttori for the enthusiasm and cooperation, which made it possible to respect the time schedule set for the closing.
