LINDBERGH S.P.A.: CLOSING DELL'ACQUISIZIONE DEL 100% DI ITR SRL
E ECO MANUTENZIONI IMPIANTI SRL DI ROMA
Pescarolo ed Uniti (CR), 28 gennaio 2025 - Lindbergh S.p.A. (EGM:LDB), Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare, rende noto che, con riferimento all'operazione di acquisizione del 100% di ITR Srl e Eco Manutenzioni Impianti Srl, di cui al comunicato stampa del giorno 1° agosto 2024, in data odierna è avvenuto il closing dell'operazione.
Lindbergh, attraverso la propria controllata al 100% Smit Srl, ha acquistato il 100% di ITR Srl e Eco Manutenzioni Impianti Srl, società attive nella provincia di Roma.
Come dai dettagli dell'operazione comunicati in data 1° agosto 2024, si rende noto che in data odierna sono stati corrisposti per cassa € 1.182.000.
Il valore totale dell'operazione è complessivamente pari a Euro 2,6 milioni oltre a PFN e Capitale Circolante Netto che saranno valorizzati alla data del 31 gennaio 2025 entro il 28 febbraio 2025 (Lindbergh renderà nota, quando disponibile, la valorizzazione di PFN e capitale circolante netto mediante comunicato stampa). PFN e CCN saranno poi pagati per cassa entro il 30 aprile 2025.
Si segnala che l'operazione non è da considerarsi significativa ai sensi dell'art. 12 del Regolamento Emittenti Euronext Growth Milan.

LINDBERGH S.P.A.: CLOSING OF THE ACQUISITION OF 100% OF ITR
SRL AND ECO MANUTENZIONI IMPIANTI SRL IN ROME
Pescarolo ed Uniti (CR), 28 january 2025 - Lindbergh S.p.A. (EGM:LDB), an Italy-basedGroup primarily engaged in providing services for MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) and Circular Economy segments, announces that, with reference to the purchase of 100% share capital of ITR Srl and Eco Manutenzioni Impianti Srl, referred to in the press release of august 1st 2024, the closing of the transaction took place today.
Lindbergh, through its wholly-owned subsidiary Smit Srl, acquired 100% share capital of ITR Srl and Eco Manutenzioni Impianti Srl, companies active in the province of Rome.
As per the details of the transaction disclosed on August 1st, 2024, it is reported that € 1,182,000 was paid in cash on today's date.
The total value of the transaction is € 2.6 million plus NFP and Net Working Capital, which will be valued as of January 31st 2025 by February 28th 2025 (Lindbergh will disclose the value of NFP and Net Working Capital through a press release when available). NFP and NWC will then be paid in cash by April 30th 2025.
It should be noted that the transaction is not to be considered significant under Article 12 of the Euronext Growth Milan Issuers' Regulations.
