L'ACQUISIZIONE DEL RAMO D'AZIENDA DI ALFATERMICA SRL DI PARMA

Pescarolo ed Uniti (CR), 7 gennaio 2025 - Lindbergh S.p.A. (EGM:LDB), Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare, comunica di aver concluso, per il tramite della controllata "Idro Calor S.r.l." del Gruppo SMIT (controllato al 100% dal gruppo Lindbergh), un accordo per l'acquisizione del ramo d'azienda della società "Alfatermica s.r.l.", con sede a Parma e operante nella riparazione e manutenzione di impianti di riscaldamento, condizionamento, bruciatori e frigoriferi. Il ramo d'azienda acquisito è costituito da tutto il pacchetto clienti, le attrezzature funzionali all'erogazione dei servizi, le rimanenze finali di merci e un totale di cinque dipendenti.

Sempre con sede a Parma, Idro Calor Srl è attiva nell'installazione, manutenzione e riparazione di impianti di riscaldamento, tra cui impianti idrotermosanitari, caldaie, impianti idraulici, termoidraulici. L'acquisizione del ramo d'azienda di Alfatermica Srl è funzionale perché consente a Idro Calor di integrare competenze e servizi anche per quanto riguarda impianti di condizionamento e raffreddamento. Inoltre, l'operazione consolida la posizione di mercato di Idro Calor nel territorio parmense e, in generale, la presenza di SMIT nell'area dell'alta Emilia. Alfartermica Srl, al 31 dicembre 2023, ha realizzato ricavi pari a € 676.503, con un EBITDA pari a € 96.904 e un indebitamento finanziario netto attivo (cassa) per € 101.602.

Questa operazione si inserisce nella linea strategica di Lindbergh volta a costituire, mediante la propria controllata SMIT, la prima realtà industriale italiana in grado di erogare servizi di assistenza tecnica e installazione, nel settore della termoidraulica (HVAC), su tutto il territorio nazionale.

Dettagli dell'operazione

L'acquisizione del ramo d'azienda di Alfatermica, il cui closing è previsto entro la fine del mese di Giugno 2025, ha un valore totale di € 280.000, di cui:

• € 45.000 a titolo di caparra confirmatoria versati per cassa in data odierna;
• € 55.000 alla data del closing per cassa;
• il valore delle rimanenze, quantificato con inventario alla data del closing (circa €
  20.000), entro 90 giorni dalla data del closing;
• € 10.000 mediante accollo da parte di Idro Calor dei debiti in essere al momento dell'atto di cessione;
• i restanti € 150.000 verranno corrisposti per cassa in n. 4 rate semestrali posticipate consecutive dell'importo di € 37.500 cadauna.

GROWTH IN HVAC SECTOR CONTINUES

THE SUBSIDIARY IDRO CALOR SRL SIGNED THE PRELIMINARY AGREEMENT FOR THE ACQUISITION OF THE BUSINESS UNIT OF ALFATERMICA SRL OF PARMA

Pescarolo ed Uniti (CR), 07 January 2025 - Lindbergh S.p.A. (EGM:LDB), an Italy-basedGroup primarily engaged in providing services for MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) and Circular Economy segments, hereby announces that it has concluded, through its subsidiary 'Idro Calor S.r.l.' of the SMIT Group (100% controlled by the Lindbergh Group), an agreement for the acquisition of the business unit of the company 'Alfatermica s.r.l.', based in Parma and operating in the repair and maintenance of heating, air- conditioning, burner and refrigeration systems. The acquired business unit consists of the entire customer base, the functional equipment for the provision of services, the final inventory of goods, and a total of five employees.

Also based in Parma, Idro Calor Srl is active in the installation, maintenance and repair of heating systems, including plumbing systems, boilers, and thermohydraulics. The acquisition of Alfatermica's business unit is functional because it allows Idro Calor to integrate skills and services for air conditioning and cooling systems. Furthermore, the transaction consolidates Idro Calor's market position in the Parma area and, in general, the presence of SMIT in the northern Emilia area. As of 31 December 2023, Alfartermica Srl realised revenues of € 676,503 with an EBITDA of € 96,904, and a net financial asset (cash) of € 101,602.

This operation is part of Lindbergh's strategy to establish, through its subsidiary SMIT, the first Italian industrial player able to provide technical assistance and installation services in the HVAC (Heating, Ventilation, Air Conditioning) sector, throughout the country.

Transaction Details

The acquisition of Alfatermica's business unit, expected to close by the end of June 2025, has a total value of € 280,000, of which:

• € 45,000 by way of deposit paid in cash on the closing date
• € 55,000 on the date of closing in cash;
• the value of inventories, quantified with inventory on the date of closing (about €
  20,000), within 90 days from the date of closing;
• € 10,000 through the assumption by Idro Calor of the debts outstanding at the time of the deed of sale;
• the remaining € 150,000 will be paid in cash in 4 consecutive deferred half-yearly instalments of € 37,500 each.
