RAGGIUNTO IL 100% DELLA PARTECIPAZIONE NEL CAPITALE DI SMIT SRL, SOCIETA' VEICOLO NEL PERCORSO DI SVILUPPO NEL MERCATO HVAC

Pescarolo ed Uniti (CR), 28 giugno 2024 - Lindbergh S.p.A. (EGM:LDB), Gruppo attivo in Italia e Francia nel settore MRO (Maintenance, Repair and Operations) per l'offerta di servizi di logistica per le reti di assistenza tecnica, nel settore waste management/circular economy e nel settore HVAC (Heating, Ventilation and Air Conditioning), comunica di aver incrementato in data odierna la propria partecipazione di maggioranza detenuta in SMIT Srl dal 77,5% al 100%, per un valore pari a 300.000€.

I 3 soci storici di SMIT, che opera da anni sul territorio fornendo servizi di assistenza tecnica nel settore della termoidraulica (caldaie e pompe di calore) a clienti privati e industriali, hanno ceduto rispettivamente la quota di partecipazione residua, del valore nominale di Euro 1.600,00 - pari a 7,50% del capitale sociale - cadauna.

A conclusione di questa operazione, Lindbergh detiene il 100% di SMIT srl, capofila attraverso la quale proseguirà, grazie anche alle recenti acquisizioni, il suo percorso di espansione dell'offerta nel mercato della termoidraulica.

Si segnala che l'operazione non è da considerarsi significativa ai sensi dell'art. 12 del Regolamento Emittenti Euronext Growth Milan.

100% STAKE REACHED IN THE CAPITAL OF SMIT SRL, VEHICLE COMPANY

FOR THE DEVELOPMENT IN THE HVAC INDUSTRY

Pescarolo ed Uniti (CR), 28 June 2024 - Lindbergh S.p.A. (EGM:LDB), the Group operating in the MRO (Maintenance, Repair and Operations) industry, providing logistics services to technical assistance networks, and active also in the Waste management/circular economy and in the HVAC (Heating, Ventilation and Air Conditioning) industries, announces that today it has increased its majority shareholding in SMIT Srl from 77.5% to 100%, for a value of €300,000.

The three historical shareholders of SMIT, which has been operating for years in the area providing technical assistance services in the plumbing and heating industry (boilers and heat pumps) to private and industrial customers, respectively sold their remaining shareholding, with a nominal value of €1,600.00 - equal to 7.50% of the share capital - each.

At the end of this transaction, Lindbergh holds 100% of SMIT srl, the parent company through which it will continue, thanks also to recent acquisitions, its path of expanding its offer in the plumbing and heating market.

Please note that the transaction is not to be considered significant pursuant to Article 12 of the Euronext Growth Milan Issuers' Regulations.
