APERTURA DEL SESTO PERIODO DI ESERCIZIO DEI "WARRANT ULISSE BIOMED S.P.A. 2021-2026":

Trieste, 30 settembre 2024 - Ulisse Biomed S.p.A. ("UBM", la "Società " e, insieme alle sue controllate, il "Gruppo"), healthcare biotech company italiana attiva nei settori della diagnostica, teranostica e nel campo terapeutico, comunica, che dal 1° ottobre 2024 si aprirà il sesto periodo di esercizio dei "WARRANT ULISSE BIOMED S.P.A. 2021-2026" codice ISIN IT0005453789 (i "Warrant").
I portatori dei Warrant potranno richiederne l'esercizio a decorrere dal 1° ottobre 2024 e fino al 31 ottobre 2024, termini iniziale e finale compresi (il "Sesto Periodo di Esercizio"), entro l'ultimo Giorno di Borsa Aperta del Sesto Periodo di Esercizio.
Le richieste dovranno essere presentate all'intermediario aderente a Monte Titoli S.p.A. presso cui sono depositati i Warrant. I portatori dei Warrant potranno sottoscrivere azioni ordinarie UBM di nuova emissione, prive del valore nominale, ammesse alla quotazione su Euronext Growth Milan (le "Azioni di Compendio") nel rapporto di n. 1 (una) Azione di Compendio ogni n. 1 (un) Warrant presentato per l'esercizio. Il Prezzo di Esercizio dei Warrant per il Sesto Periodo di Esercizio è pari ad Euro 2,78 per ciascuna Azione di Compendio sottoscritta.
Le Azioni di Compendio avranno il medesimo godimento delle Azioni negoziate su Euronext Growth Milan o su altro mercato dove saranno negoziate le Azioni alla data di emissione delle Azioni di Compendio.
Il Prezzo di Esercizio dovrà essere integralmente versato all'atto della presentazione della richiesta di esercizio, senza aggravio di commissioni e di spese a carico dei titolari dei Warrant richiedenti la conversione.
Le Azioni di Compendio sottoscritte dai titolari di Warrant durante il Sesto Periodo di Esercizio saranno rese disponibili per la negoziazione, per il tramite di Monte Titoli S.p.A., il Giorno di Borsa Aperta successivo al termine dell'ultimo giorno del Sesto Periodo di Esercizio.
Qualora i titolari dei Warrant non richiedano di sottoscrivere le Azioni di Compendio entro l'ultimo Giorno di Borsa Aperta del Sesto Periodo di Esercizio, gli stessi perderanno il relativo diritto, fatta salva la facoltà di esercitare i suddetti Warrant in ognuno degli eventuali successivi Periodi di Esercizio, fermo restando il Termine di Decadenza.

OPENING OF THE SIXTH EXERCISE PERIOD OF THE "WARRANT ULISSE BIOMED S.P.A. 2021-2026":
FROM 1 TO 31 OCTOBER 2023
Trieste, September 30th 2024 - Ulisse Biomed S.p.A. ("UBM", the "Company" and, together with its subsidiaries, the "Group"), an Italian healthcare biotech company active in the diagnostic, theranostics and therapeutic fields, announces that from 1 October 2024 the sixth exercise period of the "ULISSE BIOMED S.P.A. 2021-2026 WARRANTS" ISIN code IT0005453789 (the "Warrants") will commence.
Warrant holders may request the exercise of the Warrants from 1 October 2024 until 31 October 2024, including the initial and final terms (the "Sixth Exercise Period"), by the last trading day of the Sixth Exercise Period.
Requests must be submitted to the intermediary member of Monte Titoli S.p.A. with which the Warrants are deposited. Warrant holders may subscribe newly issued ordinary UBM shares, without nominal value, admitted to listing on Euronext Growth Milan (the "Conversion Shares") at a ratio of 1 (one) Conversion Share for every 1 (one) Warrant presented for exercise. The Exercise Price of the Warrants for the Sixth Exercise Period is equal to Euro 2,78 for each Conversion Share subscribed.
The Conversion Shares will have the same dividend entitlement as the Shares traded on Euronext Growth Milan or on another market where the Shares will be traded on the date of issue of the Conversion Shares.
The Exercise Price shall be paid in full at the time of submission of the exercise request, without additional fees and expenses to be paid by the Warrant holders requesting conversion.
The Conversion Shares subscribed by the Warrant holders during the Sixth Exercise Period will be made available for trading, through Monte Titoli S.p.A., on the MTA Trading Day following the end of the last day of the Sixth Exercise Period.
If the Warrant holders do not request to subscribe for the Conversion Shares by the last trading day of the Sixth Exercise Period, they will forfeit their right to do so, without prejudice to the right to exercise the said Warrants in any subsequent Exercise Period, subject to the Forfeiture Period.
